Official Translation: Investor Co-funding Rules
To ensure smooth, transparent, and fair co-funding for all parties, we propose the following investor co-funding rules:
1. Preliminary Agreement
Funding Objective: To invest in the Stock Exchange of Thailand (SET).
Funding Goal: To drive stock prices according to the contracts received by the committee.
Deposits and Withdrawals: Deposits and withdrawals must be made through the B Stock Exchange
Investment Style: Investment in the Thai stock market is stipulated through Block Trade (Big lot) transactions after the market closes.
Duration: The coach and the analysis team determine the holding period for each stock.
Purchase Rights: Reserved for members who have exercised their rights in advance.
Buying and Selling: Buying and selling of shares must be done at the time specified by the analysis team.
2. Investor Rights and Responsibilities
Information Verification: Investors have the right to verify information related to the investment, such as purchase price, profit plan, and profit forecast.
Decision Making: Investors can only purchase shares as stipulated in the contract between the faculty and the company owning the shares.
Information Access: Investors have the right to receive information related to the investment regularly.
Profit Sharing: The profit-sharing ratio is determined based on the investment amount of each investor.
Responsibility: Investors are responsible for their own investment decisions.
3. Price Driving Management
Price Driving: To ensure the stock price meets the contract, investors must have the discipline to invest together by participating in all stocks according to the volume specified in the contract.
Capital Increase: Members are required to increase their portfolio capital regularly to maintain investment discipline and increase profits for themselves.Withdrawals: Members can withdraw money as appropriate according to the fundraising regulations. For example, they should not withdraw all the money from the investment portfolio. If there is a need to withdraw money, it is recommended to withdraw only the profit. To drive the stock price in the contract, withdrawals are prohibited between the 15th and 30th of the month, as this is the date when the Bank of Thailand inspects the project's financial accounts.
4. Dispute Resolution
Negotiation: In the event of a dispute, attempts should be made to resolve the issue through negotiation first.
Unsuccessful Negotiation: If the negotiation is unsuccessful, the project officials can make an immediate decision.
5. Other Provisions
Confidentiality: Investors must maintain the confidentiality of information related to the investment.
Market Connections: The establishment of this co-funding project relies on influential figures in the country. Therefore, to ensure the continuation of future projects, members are prohibited from disseminating, announcing, posting on online media, inviting others, or inquiring about information from the affiliated organizations of each coach within the project.
Rule Changes: Senior project officials can consider changing the rules if necessary.
Contract Signing: When a member deposits money into their portfolio account for the first time, it will be considered as signing a contract to participate in the project immediately.
